Please read these Terms of Service ("Terms") carefully before using the Mithla Lab platform or website. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website or using our platform, you confirm that you are at least 18 years old and have the authority to bind the organization you represent to these Terms.

2. Description of Services

Mithla Lab provides a cloud-based Laboratory Information Management System (LIMS) for diagnostic labs, hospitals, and healthcare organizations. Services include patient management, test tracking, billing, reporting, and related APIs.

3. Account Registration

  • You must provide accurate, complete registration information
  • You are responsible for maintaining the confidentiality of your credentials
  • You must notify us immediately of any unauthorized access
  • One organization may not create multiple accounts without written consent

4. Acceptable Use

You agree not to:

  • Use the platform for illegal purposes or to violate any laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Resell or sublicense the service without written permission
  • Use the service to store data unrelated to laboratory operations

5. Data Ownership

You retain ownership of all data you input into the platform. By using our services, you grant Mithla Lab a limited license to process your data solely for the purpose of providing the service.

6. Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We reserve the right to suspend accounts with overdue payments after 10 days notice
  • Prices are subject to change with 30 days advance notice

7. Service Level Agreement

We commit to 99.9% monthly uptime for our core platform. In the event of downtime exceeding this threshold, you may be eligible for service credits as described in your subscription agreement.

8. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party. This obligation survives termination of the agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Mithla Lab shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amounts paid by you in the 12 months preceding the claim.

10. Termination

Either party may terminate the agreement with 30 days written notice. We may terminate immediately for material breach. Upon termination, you may export your data within 30 days after which it will be permanently deleted.

11. Governing Law

These Terms are governed by the laws of Bangladesh. Disputes shall be resolved through arbitration in Dhaka, Bangladesh.
